Terms of Service

1. Who you're contracting with

Digital Typewriter (the "Service") is operated by Honeyguide LLC, a Pennsylvania limited liability company ("we", "us"). These Terms are a binding agreement between you and Honeyguide LLC. By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and authority

You must be at least 18 years old, or the age of legal majority where you live, to use the Service. If you use the Service on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

3. The Service

The Service is a browser-based, distraction-free writing tool that stores your drafts in your account. We may add, change, limit or remove features at any time, with or without notice. Features available today are not a promise of features in the future.

4. Your account

• You must give accurate information and keep it up to date.
• You are responsible for keeping your password confidential and for all activity under your account.
• Accounts are for one person and may not be shared, sold or transferred.

5. Payment, subscription and billing

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, renewals, cancellations and refunds are governed by Paddle's Buyer Terms and our Refund Policy.

Subscriptions renew automatically each month until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then. We may change the price of the subscription; any change applies from your next billing period after notice. Writing access requires an active subscription.

6. Acceptable use

You agree not to:

• use the Service for anything unlawful, fraudulent, or harmful;
• send spam or use the Service to distribute malicious content;
• infringe anyone's intellectual property or other rights;
• upload malware, or probe, scan, scrape, overload or interfere with the Service or its security;
• reverse engineer, copy, resell, redistribute or build a competing product from the Service;
• get around access controls, usage limits or payment requirements.

7. Your writing

You own what you write. You give us a limited licence to store, copy, transmit and display your content only as needed to provide the Service to you. You are solely responsible for your content and for keeping your own copies of anything important. You can download any draft at any time.

8. Our intellectual property

The Service, including its software, design, text, documentation and branding, is owned by Honeyguide LLC and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your own purposes while your account is in good standing. All rights not expressly granted are reserved.

9. Feedback

If you send us ideas or feedback, we may use them freely without any obligation to you.

10. Service availability and data

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that content will never be lost. Autosave and storage can fail. We are not responsible for lost, corrupted or unsaved writing; you are responsible for backing up your work by downloading it.

11. Suspension and termination

We may suspend or end your access, with or without notice, if you materially breach these Terms, fail to pay, create a security or fraud risk, repeatedly or seriously violate our policies, or if we are required to by law. We may also discontinue the Service entirely. You may stop using the Service and cancel at any time. After an account ends, we may delete its content; where reasonably possible, we will try to give you a chance to download your drafts first, but we are not obliged to keep content after termination.

12. Disclaimer of warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, Honeyguide LLC and its members, managers and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, content or goodwill, however caused. Our total liability for any claim relating to the Service is limited to the amount you paid for the Service in the 6 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.

14. Indemnity

You agree to defend, indemnify and hold harmless Honeyguide LLC from any claims, losses and expenses (including reasonable legal fees) arising from your content, your unlawful use of the Service, or your breach of these Terms.

15. Force majeure

We are not responsible for any delay or failure caused by events beyond our reasonable control, including outages of hosting, network or payment providers.

16. Disputes and governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to their jurisdiction. To the extent permitted by law, claims must be brought individually, not as part of a class or representative action.

17. General

We may update these Terms by posting a new version here; continued use after the update means you accept it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, with the Privacy Notice and Refund Policy, are the entire agreement between you and us about the Service.
